These Terms & Conditions ("Terms") are a binding agreement between you and Mindlap Technologies Pvt Ltd ("Mindlap," "we," "us," or "our"), a company incorporated in India with its registered office at 2nd Floor, Obeya Gusto, HSR Layout, Bengaluru, Karnataka 560102, India. They govern your access to and use of mindlap.ai, our applications, APIs, and related services (collectively, the "Services").

By joining our waitlist, creating an account, or otherwise using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and that organization.

If you do not agree to these Terms, do not use the Services.

1. Introduction

These Terms are a binding agreement between you and Mindlap Technologies Pvt Ltd. They govern your access to and use of the Services, including our website, applications, APIs, and related offerings. By joining our waitlist, creating an account, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference.

If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both you and that organization.

2. The Services

Mindlap is an AI-native engineering suite that connects to coding agents and engineering tools to help teams plan, track, manage, and improve work across the software development lifecycle. The Services include two core engines:

  • Joy of Creation, which supports engineer flow with AI assistance the engineer controls, and produces verifiable outputs.
  • Agent Factory, which helps teams scale AI agents with auditable actions, human feedback loops, and performance metrics.

We are continually improving the Services. We may add, change, or remove features from time to time. Where a change materially reduces core functionality of a paid plan, we will give you reasonable notice.

3. Waitlist, Early Access & Beta Features

The Services are currently offered on a waitlist and early-access basis. Joining our waitlist does not guarantee access, a specific timeline, or any particular feature set. We may grant, delay, or decline access at our discretion.

Some features, plans, or engines (including any offering labeled "Beta," "Preview," "Early Access," or similar, such as our Pro (Beta) plan) are made available for evaluation. Beta features are provided as-is, may change or be withdrawn at any time, may contain defects, and are excluded from any service level commitments. Feedback on Beta features is encouraged and is governed by Section 10.

You should not rely on Beta features for production workloads or regulated use cases without your own validation.

4. Accounts, Workspaces & Authorized Users

To use the Services you must create an account and keep your credentials secure. You are responsible for activity that occurs under your account.

A customer account may be organized as a workspace that includes additional users you invite ("Authorized Users"), such as employees, contractors, or teammates. If you are the account owner, administrator, or billing contact for a workspace (a "Team Sponsor"), you:

  • are responsible for the acts and omissions of your Authorized Users as if they were your own;
  • must ensure each Authorized User agrees to and complies with these Terms;
  • are responsible for provisioning, de-provisioning, and access control within your workspace; and
  • are responsible for all fees incurred by your workspace, regardless of which Authorized User incurred them.

Plan-level seat limits apply (for example, the Free plan is limited to small teams of up to 5 members). You must not exceed your plan's seat limit by sharing credentials or other workarounds.

5. Plans, Payment & Taxes

We offer the following plans, which may evolve over time:

  • Free — for small teams exploring Mindlap, with AI credit limits, up to 5 members, and bring-your-own AI keys.
  • Pro (Beta) — for scaling teams, with shared workflows, advanced metrics, and priority support.
  • Enterprise — with RBAC/SSO, custom integrations, SLAs, and dedicated support, available via our sales team.

Fees, billing frequency, and plan features for paid plans are as described in your order form, pricing page, or written agreement with us. Unless otherwise stated:

  • Fees are quoted and payable in Indian Rupees (INR).
  • Fees are exclusive of taxes; you are responsible for all applicable taxes, duties, and levies as mandated by the government, which will be added to your invoice where required.
  • Fees are non-refundable except where required by law or expressly stated by us in writing.
  • If payment is overdue, we may suspend or downgrade your access after reasonable notice.

AI usage on the Free plan is subject to credit limits and requires you to supply your own third-party model API keys (see Section 8).

6. Your Content

"Customer Data" means the content, code, prompts, files, project data, metadata, and other information you or your Authorized Users submit to or generate through the Services, including AI inputs and outputs associated with your workspace.

As between you and Mindlap, you own your Customer Data. You grant us a limited, worldwide, non-exclusive license to host, process, transmit, display, and otherwise use Customer Data solely as needed to provide, secure, support, and improve the Services for you, and as otherwise permitted by these Terms and our Privacy Policy.

You are responsible for ensuring that you have the rights necessary to submit Customer Data to the Services and that doing so does not violate any law or third-party right.

7. AI Inputs, Outputs & Model Training

Mindlap's Services use artificial intelligence. When you use the Services, your prompts and connected context are sent to AI models (ours, third parties', or those you bring via your own keys) to generate outputs.

We do not use your prompts, inputs, outputs, or any other customer data to train foundation models. This applies to models we operate, models we fine-tune, and models of any third-party provider we route your data through on your behalf, regardless of plan.

You should be aware that:

  • AI outputs are probabilistic and may be inaccurate, incomplete, or unsuitable for your purpose. You are responsible for reviewing and validating outputs before relying on them, especially for production code, security, or compliance decisions. Joy of Creation and Agent Factory are designed to keep humans in the loop, but final judgment remains yours.
  • Similar inputs may produce similar outputs for different users, and outputs may not be unique to you.
  • As between you and Mindlap, you own the outputs generated for your workspace to the extent permitted by applicable law and the terms of any underlying model provider. You are responsible for your use of those outputs.

We may process de-identified, aggregated operational metadata (for example, latency, error rates, and feature usage counts) to operate and improve the Services. This operational metadata does not include your prompts, code, or output contents.

8. Third-Party Models, BYO Keys & Integrations

The Services connect to third-party AI model providers, coding agents, and engineering tools. Where you bring your own API keys ("BYO Keys") — for example on the Free plan — or connect a third-party integration:

  • Your use of that third-party product is governed by its own terms and privacy policy, and you are responsible for complying with them, including any usage or rate limits and any restrictions on model outputs.
  • You are responsible for the security of your API keys and for all activity and charges incurred on your third-party accounts through the Services.
  • We pass your prompts and context to the provider you have selected in order to fulfill your request. We do not control how that provider processes data once it leaves the Services, beyond the configuration options we expose.
  • We may add, remove, or change supported third-party providers and integrations. If a provider becomes unavailable, affected features may stop working.

We are not responsible for the availability, accuracy, or behavior of third-party models, agents, or tools.

9. Acceptable Use

You agree not to, and not to permit any Authorized User to:

  • use the Services to violate any law, infringe any third-party right, or process data you are not authorized to process;
  • reverse engineer, decompile, or attempt to extract the source code, model weights, or training data of the Services, except to the extent this restriction is prohibited by law;
  • interfere with, disrupt, or place unreasonable load on the Services, or attempt to bypass rate limits, credit limits, seat limits, or security controls;
  • use the Services to build a competing product, or to benchmark them without our prior written consent;
  • use the Services to generate or distribute malware, spam, content that sexually exploits minors, or content that incites violence or unlawful discrimination;
  • misrepresent AI-generated output as human-generated where such misrepresentation is unlawful or deceptive; or
  • share account credentials or permit use by anyone other than your Authorized Users.

We may investigate suspected violations and take appropriate action, including removing content and suspending accounts.

10. Intellectual Property & Feedback

The Services, including all software, models we develop, interfaces, documentation, and trademarks, are owned by Mindlap or our licensors and are protected by intellectual property laws. These Terms do not transfer any Mindlap IP to you except for the limited right to use the Services during the term.

If you send us suggestions, ideas, or feedback about the Services ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that Feedback for any purpose, including improving the Services, without obligation to you. You are not required to provide Feedback.

11. Confidentiality

Each party may receive non-public information from the other that is marked or reasonably understood to be confidential ("Confidential Information"). The receiving party will:

  • use Confidential Information only to exercise its rights and perform its obligations under these Terms;
  • protect it using at least the same care it uses for its own confidential information, and no less than reasonable care; and
  • not disclose it to third parties except to employees, contractors, or advisors who are bound by confidentiality obligations and need to know it.

Customer Data is your Confidential Information. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, rightfully received from a third party, or required to be disclosed by law (with notice to the other party where legally permitted).

12. Term, Suspension & Termination

These Terms apply from the moment you first access the Services and continue until terminated.

You may stop using the Services and close your account at any time. For paid plans, termination takes effect at the end of the then-current billing period unless otherwise stated in your order.

We may suspend or terminate your access if:

  • you materially breach these Terms and do not cure the breach within a reasonable period after notice (where curable);
  • your account is inactive for an extended period;
  • we are required to do so by law or by a third-party provider; or
  • continued provision poses a security or legal risk to us or other users.

On termination, your right to use the Services ends. We will make Customer Data available for export for a reasonable period, after which we may delete it in accordance with our Privacy Policy and retention schedule. Sections that by their nature should survive termination (including Sections 6, 7, 10, 11, 13, 14, 15, and 16) will survive.

13. Warranties & Disclaimers

We will provide the Services with reasonable skill and care.

Except for that commitment, and to the fullest extent permitted by law, the Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties regarding the accuracy, reliability, or completeness of AI outputs.

We do not warrant that the Services will be uninterrupted, error-free, secure against all threats, or that they will meet your specific requirements. Any service level commitments apply only where expressly stated in a written agreement (for example, an Enterprise order).

14. Limitation of Liability

To the fullest extent permitted by law:

  • Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, goodwill, data, or business opportunity, arising out of or relating to these Terms or the Services, even if advised of the possibility of such damages.
  • Each party's total aggregate liability arising out of or relating to these Terms or the Services will not exceed the fees you paid to Mindlap for the Services in the twelve (12) months preceding the event giving rise to the claim.

These limits apply in aggregate across all claims and all theories of liability. They do not limit liability for fraud, willful misconduct, or any liability that cannot be excluded under applicable law.

15. Indemnification

You will defend, indemnify, and hold harmless Mindlap and its officers, employees, and agents from and against any third-party claims, damages, liabilities, and reasonable costs (including legal fees) arising out of or related to:

  • your Customer Data or your use of AI outputs;
  • your or your Authorized Users' breach of these Terms or applicable law; or
  • your use of third-party models, BYO Keys, or integrations.

We will promptly notify you of any such claim and reasonably cooperate with your defense, at your expense. You will not settle any claim that imposes obligations on us without our prior written consent.

16. Governing Law & Dispute Resolution

These Terms are governed by the laws of India, without regard to conflict-of-laws principles.

The parties will try in good faith to resolve any dispute informally first. If a dispute cannot be resolved within 30 days, it will be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as follows:

  • the seat and venue of arbitration will be Bengaluru, India;
  • the tribunal will consist of three (3) arbitrators; and
  • the language of arbitration will be English.

The arbitral award will be final and binding. Either party may seek interim or injunctive relief from the courts at Bengaluru to protect its confidential information or intellectual property.

17. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, for example by posting an updated version on mindlap.ai with a new effective date, or by emailing account administrators. Your continued use of the Services after the effective date constitutes acceptance of the updated Terms. If you do not agree, you should stop using the Services.

18. General

  • Entire agreement. These Terms, together with our Privacy Policy and any order form or written agreement referencing them, are the entire agreement between you and Mindlap regarding the Services.
  • Order of precedence. In the event of conflict, a signed written agreement (e.g., an Enterprise order) controls over these Terms, which control over any other policy.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Severability. If any provision is held unenforceable, the remaining provisions will remain in effect.
  • Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  • Hosting location. The Services are hosted in India.
  • No agency. These Terms do not create any agency, partnership, joint venture, or employment relationship.
  • Notices. Notices to Mindlap must be sent to contact@mindlap.ai. Notices to you may be sent to the email associated with your account.
